- Applicants who have obtained prior approval or a licence before registration where the proposed activity is regulated
- Applicants using a foreign investor or an existing company as a founder only after adding OCR's published special-case documents

- Read OCR's current registration, revenue and annex pages before drafting. This guide is scoped to an ordinary private company; identify a foreign-investment, corporate-founder, regulated, public-company or non-profit case before using the basic route.
- Open CAMIS from OCR's official website and create the company user account. OCR's FAQ says the company is responsible for records uploaded with its user ID, so use a controlled email, phone and password.
- Propose a distinctive company name and clear objectives online. Avoid a name that resembles an existing company and avoid objectives so vague that OCR cannot identify the intended business.
- Wait for the name and objectives to be accepted before finalizing the incorporation set. Do not assume name submission is company registration.
- Prepare Schedule 1 and the correct private-company constitutional documents: Schedule 9 memorandum for one shareholder or Schedule 10 for other private companies, plus Schedule 14 articles. Use OCR's current annexes rather than an old consultant template.
- Certify and scan each founder's citizenship copy. Add a unanimous agreement, prior sector approval, corporate-founder decision or foreign-investment records only when the facts require them.
- Enter authorized capital, share allocation, founders and registered office consistently across CAMIS, the memorandum, articles and attachments. Check totals and spellings before upload.
- Upload the signed documents through CAMIS and submit for OCR review. Save the company account credentials and submission evidence.
- Monitor the portal for review comments. Correct the actual document or field cited and resubmit; do not upload conflicting versions or ignore an OCR objection.
- Follow the official revenue instruction for the approved authorized-capital band, save the receipt and complete the issuance or collection step shown by OCR. Confirm the registered name, number, objectives, capital and founders on the resulting record.
- After incorporation, do not mistake the certificate for every operating approval. Complete the relevant PAN/VAT, local, labour, sector-licence and annual-compliance steps for the business.

- OCR's current private-company revenue table lists NPR 1,000 for authorized capital up to NPR 100,000.
- It lists NPR 4,500 for authorized capital from NPR 100,001 to NPR 500,000.
- It lists NPR 9,500 for authorized capital from NPR 500,001 to NPR 2,500,000.
- It lists NPR 16,000 for authorized capital from NPR 2,500,001 to NPR 10,000,000. Higher bands continue on OCR's official revenue page; verify the live table before payment.
- These are registration-revenue bands based on authorized capital, not a quote for legal drafting, certification, sector approval, tax registration or a consultant.
- OCR's FAQ describes NPR 100,000 as the minimum authorized capital and NPR 1,000 as the corresponding registration fee for a private company.
- OCR's accessible registration, FAQ and revenue pages do not promise one review time. Name conflict, unclear objectives, document inconsistency, a regulated activity or a special founder can cause comments and additional review.
- A public company follows different requirements; OCR's registration page says it needs at least seven founders and paid-up capital of at least NPR 10,000,000. A non-profit company requires at least five founders.
Common mistakes
- Using the former application.ocr.gov.np tutorial instead of entering the current CAMIS service from OCR's official website
- Treating name reservation as completed incorporation
- Choosing the single-shareholder memorandum when there are multiple founders, or using a public/non-profit schedule for a private company
- Writing vague, contradictory or unlicensed objectives
- Entering capital or share allocations differently in CAMIS, the memorandum and the articles
- Uploading uncertified, cropped or unreadable citizenship copies
- Omitting the board decision and representative record when an existing company is a founder
- Filing a foreign-investment or regulated case without the applicable prior approval
- Sharing the company user ID and password casually even though OCR places responsibility for uploaded records on the company
- Ignoring an OCR review comment or paying a fee quoted outside the official revenue instruction
- Assuming incorporation automatically completes PAN/VAT, local registration, sector licensing or annual filings
